ABOUT THE TEAM 

We’re looking for a highly skilled and motivated Paralegal and board support team member with a strong background in supporting boards of directors and enterprise SaaS technology to join our legal team. The ideal candidate will have experience assisting corporate attorneys with tasks related to board of directors meetings, including preparing agendas, drafting minutes, maintaining corporate records, researching relevant regulations, ensuring compliance with corporate governance guidelines, and facilitating communication between the board and management, all while ensuring accuracy and legal adherence. This position will also support the legal department in handling SaaS-related matters, including contract review and compliance with relevant laws and regulations, with a particular focus on technology tools used in the insurance technology industry. 

This role reports to the Chief Legal Officer and is open to Dallas, TX, for those wanting a hybrid work arrangement or remote work (contingent 48 US states only). #LI-Remote

WHAT YOU’LL DO

Bestow is looking for a Paralegal to contribute in the following ways:

  • Lead corporate governance tasks such as maintaining up-to-date corporate governance records, preparing resolutions and governance actions, and providing documents to board members.

  • Review, draft, and revise corporate resolutions, intercompany agreements, and other corporate contracts, as well as prepare and file reports with relevant government agencies.

  • Investigate applicable corporate laws and regulations related to board governance, ensuring the company adheres to corporate governance best practices.

  • Conduct legal research on life insurance laws, regulations, and industry standards, particularly as they relate to technology platforms, digital tools, and software used in the life insurance space.

  • Review, draft, and assist in negotiating technology licensing agreements and other related documents, ensuring compliance with applicable laws.

  • Collaborate with enterprise clients and Bestow’s engineering and operations teams to ensure that the life insurance technology systems (e.g., policy management systems, claim processing tools, automated underwriting systems) comply with legal standards.

  • Assist in ensuring that life insurance technology systems meet regulatory requirements, including data privacy (e.g., GDPR, CCPA), cybersecurity, and other relevant insurance laws.

  • Maintain organized and accessible records for all contracts, compliance documents, and other legal files, especially in relation to technology-related agreements.

  • Provide paralegal support during the implementation of new technologies, ensuring that all legal aspects of the technology adoption process are addressed.

  • Communicate effectively with clients, stakeholders, and external vendors, particularly in the context of legal and regulatory concerns involving life insurance technology systems.

WHO YOU ARE

  • You have a bachelor's degree and paralegal certification from an accredited program.

  • Minimum of 3-5 years of paralegal and board support experience, with at least 2 years specifically in enterprise technology or a related field.

  • Past experience supporting the board of directors and corporate governance.

  • Ability to support strategic decision-making and oversight of corporate recordkeeping. 

  • Proficiency in Google Work Suite and legal management software. Expertise with data management systems, cloud-based software, and legal tech tools.

  • Excellent organizational skills and the ability to manage multiple priorities and deadlines in a fast-paced environment.

  • Strong verbal and written communication skills with the ability to explain complex legal and technical concepts to non-legal professionals. Exercises executive presence when communicating with board members, executive team, and customers. 

  • Knowledge of life insurance products, processes, technology, and relevant regulatory frameworks (e.g., NAIC regulations and state-specific insurance laws) is preferred.

  • A solid understanding of legal principles related to insurance law, privacy regulations, contracts, and technology compliance is preferred.

  • Familiarity with life insurance technology platforms such as policy administration systems, claims management software, customer portals, and underwriting automation tools preferred.
