Position Overview: The General Counsel at Zenoti will lead the company’s Legal team, ensuring compliance with all regulatory requirements while providing strategic legal guidance to the executive team. As a key member of the leadership team, the General Counsel will support Zenoti’s IPO journey, manage corporate governance, and oversee all legal matters related to contracts, employment, intellectual property, and risk management. The role will also ensure that legal practices effectively support a globally distributed workforce and operations.

Key Responsibilities:

  • Legal Strategy & Compliance:
    • Develop and implement legal strategies to support Zenoti’s business objectives and mitigate risks.
    • Ensure compliance with applicable laws, regulations, and industry standards across all geographies where Zenoti operates.
  • IPO Preparation & Corporate Governance:
    • Partner with the CFO and executive team to manage all legal aspects of IPO readiness, including drafting and reviewing SEC filings (e.g., S-1 registration).
    • Oversee corporate governance practices, ensuring adherence to public company standards post-IPO.
  • Commercial and Capital Structure Support:
    • Provide legal support for fundraising efforts, including reviewing term sheets and investor agreements.
    • Advise on corporate capital structure, equity arrangements, and shareholder agreements.
  • Contract Management:
    • Review, draft, and negotiate key contracts, including vendor agreements, customer contracts, and strategic partnerships.
    • Establish efficient processes for contract management and approvals.
  • Risk Management:
    • Identify and address potential legal risks, including intellectual property, data privacy, and regulatory compliance.
    • Ensure full compliance with global data privacy and security laws, such as GDPR and CCPA.
    • Align legal processes to effectively support global teams and operations.
  • Team Leadership:
    • Build and lead a high-performing Legal team, ensuring alignment with Zenoti’s goals.
    • Provide training and guidance to internal stakeholders on legal and compliance matters.
    • Foster collaboration across globally distributed legal teams.

Qualifications:

  • Juris Doctor (JD) from an accredited law school; active bar membership required.
  • 12+ years of legal experience, including corporate law, compliance, and risk management.
  • Proven experience with IPO preparation, fundraising support, and public company legal requirements.
  • Strong expertise in commercial contracts, capital structure, and data privacy/security compliance.
  • Demonstrated ability to lead and develop a Legal team.
  • Excellent problem-solving, negotiation, and communication skills.
  • Experience managing legal operations across multiple geographies is highly preferred.

Zenoti Pay Range

$346,000$392,000 USD
